Laws on the Establishment of Boards of Trustees
Article 1: The Ministries of "Culture and Higher Education" and "Health, Treatment, and Medical Education" shall each establish a Board of Trustees for their affiliated universities, higher education institutions, and research institutes (hereinafter referred to as "the Institution") with the following composition:
- The respective Minister.
- The President of the Institution.
- 4 to 6 local or national scientific, cultural, or social figures who have played an effective role in the development and progress of the Institution.
- The Minister or representative of the Plan and Budget Organization.
Note: At least two of the members under section (c) must be faculty members of a university.
Article 2: The members mentioned in section (c) shall be appointed for a four-year term by the President of the Republic upon the recommendation of the respective Minister. Members may serve on a maximum of two boards of trustees simultaneously, and their reappointment is permissible.
Article 3: The chairmanship of the Board of Trustees shall be held by the Minister of Culture and Higher Education or the Minister of Health, Treatment, and Medical Education, as applicable.
Article 4: The President of the respective Institution shall serve as the Secretary of the Board of Trustees.
Article 5: The relevant Ministries may, if deemed necessary, place two or more institutions under the supervision of a single Board of Trustees. In such cases, all presidents of the institutions shall be members of the Board, and the Minister shall appoint the Secretary from among them.
Article 6: For institutions affiliated with other ministries or organizations whose establishment has been licensed by the Ministries of Culture and Higher Education or Health, the respective minister or head of that organization shall serve as a member and chair of the Board of Trustees in place of one of the members mentioned in Article 1(c).
Note: In such institutions, the other members under section (c) are appointed upon the recommendation of the respective minister or head of the organization and with the approval and decree of the relevant Minister (Culture and Higher Education or Health).
Article 7: Duties and Authorities of the Board of Trustees
- Approving the Board's internal bylaws.
- Approving the administrative structure of the Institution based on regulations proposed by the relevant ministries in coordination with the State Organization for Administrative and Recruitment Affairs and approved by the Supreme Council of the Cultural Revolution.
- Reviewing and approving the Institution's budget as proposed by its President.
- Approving the detailed budget of the Institution.
- Approving the annual accounts and balance sheet of the Institution.
- Approving the methods for collecting and spending dedicated revenues.
- Appointing an auditor and a treasurer for the Institution.
- Endeavoring to attract private sector contributions and local revenues, in compliance with the regulations of the Supreme Council of the Cultural Revolution.
- Approving financial and transactional regulations, which shall be enforceable upon confirmation by the relevant ministry.
- Proposing the rates of special allowances for faculty and non-faculty members, enforceable upon confirmation by the relevant ministry.
- Determining the management method for the Institution's production, service, workshop, and health-treatment units within the framework approved by the Council of Ministers.
- Determining the rates for research fees, teaching fees, service fees, and royalties.
- Reviewing the performance report of the Institution as presented by its President.
- Approving the employment regulations for the Institution's faculty members, which shall be enforceable after confirmation by the relevant ministry.
Article 8: The budget for each Institution shall be included and approved solely as a grant within the national annual budget. The allocation shall be disbursed in full to the Institution at least quarterly, at a rate of three-twelfths of the approved budget, through the relevant executive agencies.
Article 9: The financial and transactional affairs of the Institutions, with the exception of the comptroller-generalship subject of Article 31 of the Public Accounting Act, shall not be subject to other provisions of the said Act, the Government Transactions Regulations, or other laws pertaining to governmental institutions.
Article 10: The auditing of the annual accounts of the Institutions shall be conducted in accordance with regulations prepared by the relevant ministries and approved by the Ministry of Economic Affairs and Finance.
Article 11: Until the Boards of Trustees of universities and institutions are formed in accordance with this law and the necessary executive regulations are approved, affairs shall be conducted according to previous regulations.
